The transaction involved establishing a multi-jurisdiction investment structure comprising:
Indian Promoter Entity → UAE Holding / Support Entity → UK Operating Company
TMA acted as transaction advisor and regulatory counsel, advising on transaction structuring, ODI regulatory strategy, valuation, corporate compliances, cross-border documentation, and transaction execution across India, the UAE, and the United Kingdom.
A key structuring innovation involved redenominating the capital of the UAE entity into GBP, enabling a direct INR → GBP investment flow and avoiding an additional foreign exchange conversion layer typically present in offshore investment structures.
