T. Murty & Associates(TMA) advised on the structuring and execution of a cross-border investment of ~INR 36 crores by an Indian healthcare group promoted by a leading hospital network founder and a nationally recognised Padma award–winning surgeon.

The transaction involved establishing a multi-jurisdiction investment structure comprising:

Indian Promoter Entity → UAE Holding / Support Entity → UK Operating Company

The UAE entity, incorporated in the Dubai International Financial Centre (DIFC), has been designed to function as a global coordination and administrative services platform, while the UK entity will develop and deliver medical and healthcare education programmes aligned with UK academic and regulatory standards, with the first student intake targeted for 2028, subject to regulatory approvals.

TMA acted as transaction advisor and regulatory counsel, advising on transaction structuring, ODI regulatory strategy, valuation, corporate compliances, cross-border documentation, and transaction execution across India, the UAE, and the United Kingdom.

A key structuring innovation involved redenominating the capital of the UAE entity into GBP, enabling a direct INR → GBP investment flow and avoiding an additional foreign exchange conversion layer typically present in offshore investment structures, resulting in estimated savings of INR 25–30 lakhs in FX costs for the client.
